1. Scope and Parties

These Terms & Conditions govern the use of bhowco.de and all services offered by BHowCo Trading GmbH, Hahnstr. 38, 60528 Frankfurt am Main, Germany (“BHOWCO,” “we,” “us”). By creating an account or purchasing a plan, you (“Customer”) agree to these Terms.

2. Business Customer Confirmation

BHOWCO’s services are directed exclusively at businesses (Unternehmer within the meaning of § 14 BGB) acting in the course of their trade, business, or profession. By registering, you confirm that you are acting as a business, not as a consumer within the meaning of § 13 BGB. Accordingly, the statutory 14-day right of withdrawal applicable to consumer contracts under § 355 BGB does not apply. BHOWCO nonetheless offers a voluntary 14-day money-back guarantee as described in Section 7.

3. Description of Services

BHOWCO operates a B2B exhibitor directory connecting international exhibitors at German trade fairs with global buyers. We offer four membership tiers: Free, Starter, Growth, and Authority, each with different features as described on our Pricing page. Plan features and pricing may be updated from time to time; changes do not affect active paid terms already purchased.

4. Formation of Contract

A contract is formed when you (1) complete registration, (2) select a plan, and (3) complete payment where applicable. For paid plans, the contract becomes binding upon our confirmation of receipt of payment. Free plan registration forms a contract for the free service upon account creation.

5. Pricing and Payment

Current prices are listed on our Pricing page at the time of purchase. We accept payment via credit/debit card (Stripe), cryptocurrency (USDT), or direct bank transfer, as described in our Privacy Policy.

Payment confirmation and plan activation are reviewed manually by our finance team before your enhanced listing is displayed publicly. This is not an automated process; a human review step is required before approval, which may result in a short delay between payment and activation. We aim to complete this review promptly, but response times may vary.

6. Contract Term and Renewal

Paid plans run for a fixed term of 12 months from the date of activation. Plans do not renew automatically. Approximately 30 days before your plan expires, we will notify you by email that renewal is available. To continue your plan, you must manually confirm and complete a new payment before or after expiration. If you do not renew, your profile reverts to the Free tier (or is handled as described in Section 9) at the end of the term.

7. Money-Back Guarantee

We offer a voluntary 14-day money-back guarantee from the date of purchase for new paid plan subscriptions. To request a refund within this period, contact us at bhowco-legal@bhowco.de. Refunds are processed to the original payment method within a reasonable time after approval. This guarantee applies to the initial purchase only and does not apply to renewal payments made after the 14-day window has passed for that billing period.

8. Cancellation

Since plans do not renew automatically, no cancellation action is required to stop future billing — simply choose not to renew when your term ends. If you wish to cancel an active plan before its term ends, contact us; cancellation does not entitle you to a partial refund for the remaining term, except as covered by Section 7.

9. What Happens When a Paid Plan Expires

Upon expiration without renewal, enhanced visibility features (priority placement, extended profile content, etc.) associated with your paid tier are deactivated. Your basic company listing may remain visible at the Free tier level unless you request removal under our Intellectual Property Protection policy (Section 7, listing removal requests).

10. Content Standards and Review Process

BHOWCO exists to be a well-functioning space for international business connections, and we take this responsibility seriously toward both exhibitors and the buyers who rely on our directory. All content you submit or that is compiled for your profile is registered and undergoes general verification before publication. Full content requirements are set out in our Company Listing Policy.

Where you consent, we may further refine and strategically optimize your profile content — improving its clarity, structure, and positioning — with the goal of delivering better outcomes both for your company and for the buyers evaluating suppliers on our platform. This optimization step is optional and occurs only with your agreement; it does not proceed without your consent, and any factual information about your company remains subject to your review before public display.

BHOWCO reserves the right to edit, reject, or remove content that violates our content standards or applicable law, in order to protect the interests of both exhibitors and buyers using this network.

11. Limitation of Liability

BHOWCO’s liability is limited to cases of intent and gross negligence, except for damages arising from injury to life, body, or health, or from breach of a material contractual obligation (Kardinalpflicht), in which case liability is limited to foreseeable, contract-typical damage. This limitation does not affect statutory liability under the Product Liability Act (Produkthaftungsgesetz) where applicable.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Frankfurt am Main, Germany.

13. Changes to These Terms

We may update these Terms from time to time. Material changes affecting active paid plans will be communicated by email in advance. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

14. Severability

Should any provision of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original.
